Terms of Sale and Use

These Terms of Sale and Use ("Terms") govern your use of elev8health.net (the "Site") and every purchase of products from Elev8 Health and Wellness LLC, a Wisconsin limited liability company ("Elev8," "we," "us"). By using the Site, submitting an order request or remitting payment, you ("Purchaser," "you") agree to these Terms, our Refund Policy, our Shipping and Pickup Policy and our Privacy Policy. If you do not agree, do not use the Site or place an order.
1. Research Use Only
All products sold by Elev8 are research chemicals and analytical reference materials supplied strictly for in-vitro laboratory, analytical and scientific research use. Products are NOT for human or veterinary use, are NOT drugs, foods, cosmetics, dietary supplements or medical devices, and are not intended to diagnose, treat, cure, mitigate or prevent any disease or condition. Elev8 makes no medical or health claims about any product and does not provide medical, dosing or usage advice. Any information on the Site is provided for research reference only. You must not introduce any product into humans or animals.
2. Eligibility and Purchaser Representations
By ordering, you represent and warrant that: (a) you are at least 21 years of age; (b) you are a qualified researcher, or you act on behalf of a laboratory, institution or business, with the training and facilities to handle research chemicals safely; (c) you are purchasing solely for lawful research purposes; (d) you will handle, store, use and dispose of all products in compliance with all applicable federal, state and local laws, regulations and institutional requirements, and you accept full responsibility for doing so; and (e) all information you provide to Elev8 is accurate and complete. Elev8 may refuse, cancel or limit any order at its sole discretion, including where it has reason to believe a product may be used outside research purposes.
3. Order Requests and Confirmation
Submitting an order through the Site is an order request, not a completed purchase. A sales representative will review each request and contact you to confirm products, quantities, pricing, fulfillment method (shipping or local pickup) and research-use eligibility. A contract of sale is formed only when Elev8 confirms the order AND receives your payment in full. Elev8 may decline any order request without giving a reason. Order and confirmation emails are sent from orders@elev8health.net.
4. Payment
Payment is collected only after a representative confirms your order. Accepted payment methods are Zelle (tag: Elev8now) and cash, as arranged with your representative. Card payments are not currently available through the Site. Orders are not processed or released until payment has cleared. You are responsible for sending the exact confirmed amount and including any reference your representative provides.
5. Pricing and Bulk Orders
Prices are listed in U.S. dollars and may change at any time without notice before an order is confirmed. The price confirmed by your representative governs. We may correct pricing or typographical errors at any time, including after an order request is submitted. Bulk orders are placed in multiples of 10 units per product. Bulk discounts are based on total units in a single confirmed order: 20 or more total units receive 40% off list price, and 50 or more total units receive 50% off list price. Discounts cannot be combined unless your representative confirms otherwise in writing. Allow 7 to 10 days for shipping or pickup of bulk orders.
6. Shipping, Pickup and Risk of Loss
Elev8 fulfills orders in-house from Luling, Louisiana. Local pickup in Luling, LA is available by arrangement. Shipping and pickup terms are set out in our Shipping and Pickup Policy. All delivery dates are estimates. Title and risk of loss pass to you when the order is delivered to the carrier or when you collect it at local pickup.
7. Returns, Refunds and Order Issues
Because of the nature of research materials, all sales are final once payment is remitted, as described in our Refund Policy. We do not accept returns of opened, used, reconstituted or improperly stored products. If your order arrives damaged, or contains an incorrect item or quantity, you must email sales@elev8health.net within forty-eight (48) hours of delivery or pickup with your order number and clear photographs of the products and packaging. After we verify the issue, Elev8 will provide the remedy set out in the Refund Policy. Claims made after 48 hours may be declined. If anything in this section conflicts with the Refund Policy, the Refund Policy controls.
8. Prohibited Uses
You agree that you will not: (a) use, administer or sell any product for human or animal consumption, injection, inhalation, topical application or any other in-vivo use; (b) market, label or resell any product as a drug, supplement, cosmetic or for any health purpose; (c) resell products to anyone under 21 or anyone you know or suspect intends a non-research use; (d) misrepresent your identity, age, qualifications or research purpose; (e) use the Site for any unlawful purpose, or interfere with its security or operation; or (f) copy, scrape or republish Site content without our written permission. A breach of this section allows Elev8 to cancel orders and refuse future sales, in addition to any other remedy.
9. Product Information and Disclaimer of Warranties
Product descriptions, Certificates of Analysis and research references are provided for informational and research purposes only. Except as expressly stated in writing by Elev8, PRODUCTS AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND ELEV8 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Elev8 does not warrant that any product is suitable for any particular research application.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ELEV8, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR RESEARCH RESULTS, ARISING FROM OR RELATED TO THE SITE, ANY PRODUCT OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ELEV8'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. Elev8 is not responsible for any injury, loss or damage resulting from misuse of any product or use contrary to these Terms.
11. Indemnification
You agree to defend, indemnify and hold harmless Elev8 Health and Wellness LLC and its members, managers, employees, agents and suppliers from and against any claims, liabilities, damages, losses, fines, costs and expenses (including reasonable attorneys' fees) arising from or related to: (a) your purchase, handling, storage, use, resale or disposal of any product; (b) any use of a product in or on humans or animals; (c) your breach of these Terms or of any representation you made; or (d) your violation of any law or third-party right.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-law rules. You agree to the exclusive jurisdiction of the state and federal courts located in Wisconsin for any dispute arising from these Terms, the Site or any purchase. Before you start any payment dispute or legal claim, you agree to contact Elev8 first at sales@elev8health.net and give us a reasonable opportunity to resolve the issue.
13. Changes to These Terms
Elev8 may update these Terms at any time by posting a revised version on this page with a new effective date. The Terms in effect when your order is confirmed apply to that order.
14. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions stay in full effect. Our failure to enforce any provision is not a waiver. These Terms, together with the policies referenced above, are the entire agreement between you and Elev8 regarding their subject matter.
